Procura is a product under OnyxLabs, a brand operated by Onyx Management, LLC. By accessing or using Procura's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice.

3. User Accounts

To access certain features of our service, you may need to create an account. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use

4. Subscription and Payment

Feedback

You represent and warrant that you have all necessary rights to provide Your Data for processing and that Your Data does not violate any third-party rights or applicable laws.

Data Processing

Our AI-powered services process Your Data to provide classification, insights, and recommendations. By using these features, you consent to such processing. You acknowledge that AI-generated outputs may require human review for accuracy.

8. Confidentiality

We treat Your Data as confidential and will not disclose it to third parties except as described in our Privacy Policy or as required by law. We implement reasonable security measures to protect Your Data.

You agree to keep confidential any non-public information about our services, including pricing, features, and technical specifications.

9. Service Level and Support

We do not warrant that:

The service will meet your specific requirements
The service will be uninterrupted, timely, secure, or error-free
The results obtained from the service will be accurate or reliable
Any errors in the service will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCURA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or data
Business interruption
Cost of substitute services
Any other intangible losses

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Onyx Management, LLC (operating as Procura) and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

Your violation of any third-party rights
Your Data or any content you submit to the service

13. Termination

We may terminate or suspend your access to the service immediately, without prior notice or liability, for any reason, including if you breach these terms.

Upon termination:

You may request export of Your Data within 30 days
We may delete Your Data after a reasonable retention period
All provisions that should survive termination will survive

14. Dispute Resolution

Any disputes arising out of or relating to these terms or the service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Onyx Management, LLC.
